Dear Steve:

	You  have  requested   a  statement  regarding   my  proposed
arrangement  for a  six month working  arrangement between  Camax and
Vicarm.  The following sums up my current decisions in this regard.

	On a six month contract,  starting with the date of a  signed
mutual agreement, Vicarm  will allow Camax to use the  shop space and
facilities  for a fee of $1,950, to  be paid in monthly installments.
During this period  of time, Camax  will agree to  perform up to  130
hours of prototype  machining at a price of $15.00  per hour, on time
and materials type of jobs for Vicarm.

	Should  Camax  desire  to  terminate  this  agreement  early,
compensation for the  actual time used shall  be at the rate  of $400
per  month  for  the  first three  months,  and  $350  per month  for
additional months until $1,950 is reached.

	Alternatively, should Vicarm terminate this agreement early, 
Camax shall be responsible for used time at the rate of $325/month.
